Summary
IntraCare provides managed services to multiple healthcare entities
in the greater Dallas Fort Worth area. Led by an exceptional
leadership team, the company has delivered almost a decade of
performance and service excellence in value-based care, clinic
operations, and lab services. Emerging synergistic opportunities in
these spaces have positioned the company for rapid growth. The MSO
seeks to add a Vice President of Legal and Compliance to own the
overarching legal strategy and provide innovative solutions in a
highly dynamic healthcare regulatory landscape. As a key leader on
the Executive Team, the VP will be responsible for identifying and
overseeing all legal areas including, but not limited to:
compliance, corporate governance, practice acquisition, commercial
and corporate transactions, healthcare regulatory, labor and
employment, privacy, intellectual property, and outside counsel
management. S/he will serve as an internal advisor to the CEO and
other leaders on strategies to proactively address a wide variety
of federal and state healthcare regulatory and compliance matters,
including telehealth, corporate practice of medicine, and data
privacy. General Responsibilities:
- Develop policies, procedures, and processes to ensure business
units are in compliance with state and federal program regulations,
health insurance regulations, regulatory requirements for business
entities
- In collaboration with Compliance Vendor, develop and implement
necessary Compliance Programs, the compliance risk assessment
methodology, vendor risk management framework, hotline monitoring
and investigation procedures, and privacy and breach notification
program
- Draft, review, and negotiate a wide array of corporate
compliant commercial and healthcare contracts (i.e., with
employers, health plans and partners) in collaboration with sales,
payer network management, finance and other business units
- Provide legal oversite, involvement in preparation of
documentation needed for acquisitions and divestitures in
conjunction with operations
- Work with outside insurance agents to ensure the company has
the proper insurance coverages for risk liability, general
liability and all other insurance coverages
- Work with Human Resources on reviewing, updating and developing
policies and procedures. -
- Ensure administrative leaders provide adequate training to
staff to ensure that they have appropriate knowledge of regulatory
issues and requirements to carry out their responsibilities in a
lawful and ethical manner
- Coordinate as appropriate with outside legal counsel within
approved budget
- Take ownership of various projects that may arise from time to
time, including Tax, Insurance, Entity Formation, Employment
Policies, Acquisitions, Payer Network Agreements. etc.
- Maintain company records and corporate governance to support
external audits and/or any financing or other transactions that may
arise from time to time
- Address a full range of legal areas at IntraCare by developing,
implementing, and monitoring a long-term strategy across all
services lines of business, including but may not be limited to,
healthcare regulatory and reimbursement, litigation, fraud waste
and abuse, contracting, risk management, employment, corporate
finance, transactions and governance, real estate, intellectual
property, privacy and labor and employment issues.
- Provides counsel on healthcare laws including those on medical
records/privacy, Medicare, Medicaid and other government programs,
fraud and abuse, physician self-referral and anti-kickback laws,
patient care, informed consent, patients' rights, etc.
- Serves on boards, committees, and work groups as assigned.
- Performs other duties as assigned.

and enforcement actions to identify emerging risks, keep management
advised, and implement policies and training programs, as
needed
- Ability to understand a dynamic competitive landscape through
the legal lens to help build and adapt a strategy that
differentiates IntraCare in the market.
- Extensive knowledge of laws and standards governing the
delivery of healthcare by Accountable Care Organizations (ACOs),
Independent Physician Associations (IPAs), FQHC/LAL or non-profit
clinics, senior care clinics, and laboratory collecting and testing
sites, a plusEducation and Experience:
- A Juris Doctorate or equivalent law degree from an accredited
law school
- License to practice law in Texas or willing to acquire a Texas
license
- Candidates must possess a minimum of at least seven (7) years'
progressively responsible experience in healthcare law, with a
preference for candidates with for-profit and non-profit
experience
- Experience with corporate transactions, corporate governance
issues, and corporate secretarial duties. Job Type: Full-time

Experience:
- progressive responsibility in healthcare law: 7 years
